Whereas, on January 4, 2006, 3635236 Canada Inc., a body corporate incorporated under the Canada Business Corporations Act, was dissolved through an administrative dissolution process under that Act;

Whereas, on June 18, 2022, 3635236 Canada Inc. entered into an agreement with 9098-2885 Québec Inc. for the sale of 25 class A shares in 6198546 Canada Inc. (“shares”);

Whereas, given that 3635236 Canada Inc. had been dissolved, the interest in the shares was vested in His Majesty in right of Canada under section 228 of the Canada Business Corporations Act;

And whereas the Governor in Council wishes to carry into effect any disposition of the shares that the Governor in Council believes 3635236 Canada Inc., as the previous owner, may have intended;

Therefore, Her Excellency the Governor General in Council, on the recommendation of the Minister of Justice, under paragraph 3(b) of the Escheats Act, grants to 9098-2885 Québec Inc. the interest of His Majesty in right of Canada in the 25 class A shares in 6198546 Canada Inc.

Attendu que, le 4 janvier 2006, 3635236 Canada Inc., une personne morale constituée en vertu de la Loi canadienne sur les sociétés par actions, a été dissoute par un processus de dissolution administrative en vertu de cette loi;

Attendu que, le 18 juin 2022, 3635236 Canada Inc. a conclu un accord de vente avec 9098-2885 Québec inc., pour vingt-cinq actions de catégorie A détenues dans 6198546 Canada Inc. (les « actions »);

Attendu que, étant donné la dissolution de 3635236 Canada Inc., l’intérêt dans les actions a été dévolu à Sa Majesté du chef du Canada en application de l’article 228 de la Loi canadienne sur les sociétés par actions;

Attendu que la gouverneure en conseil souhaite disposer des actions selon ce qu’elle croit avoir été l’intention de 3635236 Canada Inc., en tant que propriétaire antérieur,

À ces causes, sur recommandation du ministre de la Justice et en vertu de l’alinéa 3b) de la Loi sur les biens en déshérence, Son Excellence la Gouverneure générale en conseil cède à 9098-2885 Québec inc. l’intérêt que détient Sa Majesté du chef du Canada dans les vingt-cinq actions de catégorie A dans 6198546 Canada Inc.
