Whereas, pursuant to section 40 of the Canada Transportation Act, Skyservice Business Aviation Inc. (“SKBA”) has petitioned the Governor in Council to vary the confidential decision of the Canadian Transportation Agency (“Agency”) dated June 29, 2009 with respect to SKBA (Case No. 09-00585), and to rescind the confidential decision of the Agency dated November 27, 2009 with respect to SKBA (Case No. 09-06367);

And whereas the Governor in Council, after having considered the petition, is of the opinion that the American Medical Response of Canada Inc. would not be operating a publicly available air service subject to the requirements of the Canada Transportation Act as a result of the proposed transaction and therefore, would not be required to hold a licence issued by the Agency;

Therefore, Her Excellency the Governor General in Council, on the recommendation of the Minister of Transport, pursuant to section 40 of the Canada Transportation Act, hereby

(a) varies the confidential decision of the Canadian Transportation Agency dated June 29, 2009 with respect to Skyservice Business Aviation Inc. (Case No. 09-00585) by substituting the text of the decision for the following:

“The Canadian Transportation Agency (the Agency) acknowledges receipt of the Skyservice Business Aviation Inc.’s (SKBA) submission dated May 28, 2009, in respect of Agency’s show cause letter of May 14, 2009. In that letter, the Agency directed SKBA to show cause as to why the Agency should not conclude that American Medical Response of Canada Inc. (AMRC) would be operating a publicly available air service, if the transaction were effected as proposed.

To address the issue raised in the Agency’s letter of May 14, 2009, the parties will be making numerous amendments to the Asset Purchase Agreement made as of January 30, 2009, the proposed Aircraft Charter Agreement, and the proposed Non-Competition and Non-Solicitation Agreement, as outlined on SKBA’s letter to the Agency of May 28, 2009.

On the basis of the changes proposed to the above noted Agreements and the submission filed in support of SKBA’s application, the Agency is of the view that AMRC would not be operating a publicly available air service. Therefore, if the proposed transaction were to proceed accordingly, the Agency is of the opinion that AMRC would not be operating a publicly available air service subject to the requirements of the Canada Transportation Act (Act), and in particular paragraph 57(a) of the Act which states that no person shall operate an air service unless, in respect of that service, the person holds a licence issued by the Agency.”

(b) rescinds the confidential decision of the Canadian Transportation Agency dated November 27, 2009 with respect to Skyservice Business Aviation Inc. (Case No. 09-06367).

Attendu que Skyservice Business Aviation Inc. (« SKBA ») a présenté une requête à la gouverneure en conseil, en vertu de l’article 40 de la Loi sur les transports au Canada, en modification de la décision confidentielle de l’Office des transports du Canada (« l’Office ») du 29 juin 2009 à son égard (cas n° 09-00585) et en annulation de la décision confidentielle de l’Office du 27 novembre 2009 à son égard (cas n° 09-06367);

Compte tenu des changements proposés aux accords susmentionnés et au document déposé à l’appui de la demande de SKBA, l’Office est d’avis qu’AMRC n’exploiterait pas un service aérien offert au public. Par conséquent, si la transaction proposée était conclue, l’Office est d’avis qu’AMRC n’exploiterait pas un service aérien offert au public qui serait assujetti aux exigences de la Loi sur les transports au Canada (« la Loi ») et, en particulier, à l’article 57 de celle-ci, qui prévoit que l’exploitation d’un service aérien est subordonné à la détention, pour celui-ci, d’une licence délivrée par l’Office. » [Traduction];
