Her Excellency the Governor General in Council, on the recommendation of the Minister of Public Works and Government Services and the Treasury Board, pursuant to paragraph 16(1)(k) of the Federal Real Property and Federal Immovables Act, hereby authorizes the Minister of Public Works and Government Services

(a) to enter into an hypothec agreement with

(i) 6979611 Canada Inc. on the immovable described in Schedule A for the amount of $291,000,000. in order to secure 6979611 Canada Inc.’s obligations related to the option to purchase allowing Her Majesty in right of Canada to acquire the immovable for $1.00 upon expiration of the lease, in accordance with the terms and conditions set out in the governing lease; and

(ii) 3340848 Canada Inc. on the immovable described in Schedule B for the amount of $291,000,000. in order to secure 3340848 Canada Inc.’s obligations related to the option to purchase allowing Her Majesty in right of Canada to acquire the immovable for $1.00 upon expiration of the lease, in accordance with the terms and conditions set out in the governing lease; and

(b) to execute any act deemed necessary or useful to the release or discharge, in whole or in part, of the hypothec agreements set out in paragraph (a) and all accessory rights.

Sur recommandation du ministre des Travaux publics et des Services gouvernementa ux et du Conseil du Trésor, Son Excellence la Gouverneure générale en conseil en vertu de l’alinéa 16(1)k) de la Loi sur les immeubles fédéraux et les biens réels fédéraux, autorise le ministre des Travaux publics et des Services gouvernementaux :

a) à conclure un acte d’hypothèque :

(i) avec 6979611 Canada Inc. grevant l’immeuble décrit à l’annexe A pour un montant de 291 000 000,00 $, afin de garantir les obligations de 6979611 Canada Inc. liées à l’option d’achat permettant à Sa Majesté du chef du Canada d’acquérir l’immeuble pour la somme de 1,00 $ à l’expiration du bail, conformément aux conditions prévues au bail;

(ii) avec 3340848 Canada Inc. grevant l’immeuble décrit à l’annexe B pour un montant de 291 000 000,00 $, afin de garantir les obligations de 3340848 Canada Inc. liées à l’option d’achat permettant à Sa Majesté du chef du Canada d’acquérir l’immeuble pour la somme de 1,00 $ à l’expiration du bail, conformément aux conditions prévues au bail;

b) à exécuter tout acte jugé nécessaire ou utile pour l’obtention d’une quittance ou mainlevée, totale ou partielle, des actes d’hypothèque visés au paragraphe a) et de tout droit accessoire.
